These terms govern the services provided by Proverse FZ-LLC (“Proverse”, “we”, “us”), registered at Compass Building, Al Shohada Road, Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates, to the client named in the applicable proposal or statement of work (“you”). By engaging us, you agree to the terms below.
“Services” means the email and SMS retention services described in the applicable proposal; “Deliverables” means the flows, templates, copy and other assets we produce for you under an engagement.
We will provide the Services described in your proposal or statement of work with reasonable skill and care, and in line with the scope, assumptions and timelines set out there. Changes to scope are agreed in writing before work begins.
Fees are set out in your proposal. Project work is invoiced on the payment schedule stated in your proposal; retainers are invoiced monthly in advance. Invoices are payable by the due date shown on the invoice.
You agree to provide timely access to the accounts, brand assets, approvals and information we reasonably need to deliver the Services. Where delays on your side affect timelines, delivery dates move accordingly.
On payment in full, you own the Deliverables: flows, templates, copy and design assets produced for you live in your accounts and belong to you. We retain ownership of our pre-existing methods, frameworks and know-how used to produce them.
Nothing in these terms excludes liability that cannot be excluded by law. Subject to that, our aggregate liability under an engagement is limited to the fees you have paid us under that engagement in the 12 months before the claim, and neither party is liable for indirect or consequential loss.
After any initial engagement, ongoing services roll monthly and either party may end them on the written notice set out in your proposal. Either party may terminate immediately for material breach that is not remedied within a reasonable period.
These terms are governed by the laws of the United Arab Emirates, and the courts of the United Arab Emirates have exclusive jurisdiction over any dispute arising from them.
